Glyve Terms of Service
Effective date: January 28, 2026 · Version 4.0
Important — please read
By ticking "I agree" and creating a Glyve account, or by using Glyve, you enter into a binding agreement with Glyve on these Terms. If you do not agree, do not create an account or use Glyve.
Glyve is a logging and information tool, not a medical device and not medical advice. It does not diagnose, treat, cure, mitigate or prevent diabetes or any other condition. It does not replace your doctor, diabetes educator, glucose meter, sensor app or pump.
Do not use Glyve as the basis for an insulin dose, a medication change, a treatment decision or an emergency decision. Check with a qualified health professional before any medical decision. In an emergency, call your local emergency number (such as 911 or 112).
Anything Glyve shows can be wrong, late, incomplete or missing. That includes readings, estimates, calculations, AI drafts, reminders, Beacon messages and anything a clinic sees.
These Terms limit Glyve's liability (sections 15–19). If you live in the United States, disputes are resolved by individual arbitration, not in court, and you give up class actions and jury trials, unless you opt out within 30 days (section 23(b)). Everywhere else, you can go to the courts where you live (section 23).
Nothing in these Terms takes away a right that the law where you live says cannot be taken away (section 0). Section 30 sets out what changes for people in particular countries, provinces and states.
0. Rights the law protects
This section governs every other section.
(a) Nothing in these Terms excludes, limits or waives any right, remedy or liability that the mandatory law of the place where you live does not allow to be excluded, limited or waived. This includes, where that law says so:
- liability for fraud, gross negligence, or wilful or intentional misconduct;
- liability for death or personal injury caused by negligence (in Quebec, any bodily or moral injury, under article 1474 of the Civil Code of Québec);
- liability under product-liability law, including the European Union's rules on defective products;
- statutory consumer guarantees and warranties;
- statutory privacy rights, including any private right of action under a consumer-health-data law, and the right to complain to a regulator.
(b) If the law where you live forbids or limits any provision of these Terms (for example, a disclaimer, a liability cap, an arbitration requirement, a class-action waiver, a choice of law or court, or a shortened limitation period), that provision does not apply to you to that extent. The rest of these Terms still applies.
(c) If a limitation in these Terms is unenforceable as written, it is to be read down to the greatest limitation the applicable law allows, not struck out entirely.
(d) Glyve does not ask you to give up, and you do not give up, any right that the law where you live says cannot be given up. Where section 30 says a section does not apply where you live, Glyve does not rely on it against you.
(e) Section 30 states, for particular countries, provinces and states, exactly how sections 13 and 15–23 apply there. Where section 30 speaks to a point, it governs that point.
1. Definitions
- "Glyve", "we", "us" — Glyve, which provides the Services and is the party to these Terms (see the legal notice at the end).
- "App" — the Glyve app on iPhone and iPad, its Apple Watch app, its widgets and controls, its Siri and Shortcuts actions, the app on Android if Glyve offers it there, and any extension or companion website.
- "Services" — the App, glyve.ca, support, and everything provided through them, including free, paid and beta features. The Glyve Clinical workspace for health professionals is governed by the Glyve Clinical Practice Terms, not by these Terms, except where these Terms say so.
- "Account" — your Glyve account and its settings.
- "Your Data" — everything you enter, photograph, say, connect, sync, export or share through Glyve.
- "Outputs" — anything Glyve shows or produces, including charts, summaries, estimates, calculations, AI drafts, glycemic index values, Genius patterns, Learn articles, exports, reminders, Beacon messages, what a clinic sees through Care team, and anything Siri, a widget or the Apple Watch app shows or says.
- "AI Features" — Meal Scan (including its glycemic index estimates), Voice, and any other feature that uses a machine-learning or AI model to produce an Output.
- "Beacon" — the feature that writes a text message to people you choose, with your latest reading, active insulin and, if you allow it, your location.
- "Care team" — the feature that lets you share chosen information with a clinic that gives you a Glyve Clinical code.
- "Connected Services" — services Glyve can connect to but does not run, such as Apple Health, Health Connect, Dexcom Share, LibreLinkUp, Sign in with Apple or Google, the App Store, Google Play, your carrier, a clinic you connect, and the providers listed in the Privacy Policy.
- "App Store Provider" — Apple or Google, whichever you got the App from.
2. Who can use Glyve
(a) Age. You must be old enough to consent to Glyve where you live to hold an account: 18 in India, South Africa and the Philippines; 16, 15 or 14 in the countries listed in the Privacy Policy (section 12), including 14 across Canada; and 13 everywhere else. The App checks this during setup. If you are under the age of majority where you live, your parent or guardian must agree to these Terms for you. By letting you use Glyve, they accept these Terms and are responsible for your use. Where an App Store Provider confirms age or parental consent under local law (for example, in Texas), Glyve may rely on what it reports.
(b) Using Glyve for someone else. If you set up or use Glyve for another person, such as a child or someone you care for, you confirm that you have the legal authority to do so. You accept these Terms for them and are responsible for that use, including what you log, share and send about them.
(c) Health professionals. If you use the App in caring for someone, Glyve is not a clinical tool and does not create any professional or clinical relationship between Glyve and you, your patient, or anyone else. Clinical judgement remains yours. Health professionals and practices using the Glyve Clinical workspace do so under the Glyve Clinical Practice Terms.
3. What Glyve is — and is not
Glyve is a tool you direct and control. It lets you log glucose, food, insulin, exercise, sleep and stress; bring in glucose readings, steps and sleep from Apple Health or Health Connect, and readings from Dexcom or Libre; see charts and summaries; do arithmetic on your own settings; export your records; share chosen information with a clinic you connect; and write Beacon messages.
Glyve:
- is not a medical device and has not been cleared or approved as one by Health Canada, the US FDA or any other regulator;
- does not provide medical advice, diagnosis, treatment, monitoring, triage or emergency response;
- does not make, sell or supply any drug, insulin or device;
- does not monitor you, watch for events, or contact anyone for you, and does not alert a clinic about your readings;
- has no duty to warn you, alert anyone, escalate or act on your behalf, except where mandatory law imposes one.
Where Glyve offers a feature, it is a best-effort convenience that may fail. To the extent the law imposes a duty of care on how Glyve performs a feature, that duty is limited, as far as the law allows, to not acting with gross negligence or wilful misconduct.
4. No medical advice; no reliance; no emergency use
(a) Nothing in Glyve is medical advice, or a recommendation to take or not take any medical action.
(b) You must not use Glyve, directly or indirectly, to make or support an insulin dose, a medication decision, a treatment decision, a carbohydrate correction or an emergency decision.
(c) Glyve is not designed or tested for emergency, life-sustaining, time-critical or safety-critical use.
(d) Check every important number by appropriate means, such as your meter, your sensor's own app or your care team, before you act on it.
(e) If you think you may be having a medical emergency, call your local emergency number (such as 911 or 112) and get in-person care. Do not wait for, rely on, or try to confirm an emergency through Glyve, Beacon or a clinic you share with.
(f) Do not use Glyve while driving, or at any time when looking at your phone could put you or others at risk.
5. What you acknowledge
By using Glyve, you acknowledge that:
(a) Outputs may be wrong, incomplete, late, missing, misleading or unsafe to act on, including Outputs of AI Features, which can misidentify food, misjudge portions, mishear speech or invent details.
(b) Readings, steps and sleep from Apple Health, Health Connect, Dexcom, Libre or any device may be delayed, missing, duplicated or inaccurate. When several apps or devices recorded the same reading or the same night, Glyve keeps one copy by fixed rules, and the copy it keeps may not be the one you would have chosen.
(c) Reminders and notifications may be delayed or never arrive, because of your phone's settings, Focus, Low Power Mode, the operating system or other causes.
(d) Beacon may fail: your location may be missing, approximate or out of date; the message may not be sent, delivered, read or acted on; the person may not be able to help.
(e) A clinic you connect may not look at your information for days or weeks, and decides for itself what to do with what it sees.
(f) Glyve does not promise any health outcome, such as better glucose control or preventing lows, highs, complications, hospital visits, injury or death.
(g) You are responsible for checking what you enter, reviewing drafts before you save them, reviewing exports before you share them, choosing Beacon's recipients and what a clinic may see, keeping your settings up to date, and using your own judgement.
(h) Genius patterns — for example, the band on the graph showing what your glucose usually did after meals like the one you logged — describe your own past data. A pattern is not a prediction of what will happen next, and it is not advice.
(i) Learn articles are general information about diabetes, written for everyone. They are not about you, and they are not advice.
The App reminds you of some of these limits where they matter, such as on the calculator page. Those reminders do not replace these Terms.
6. Your Data and drafts
(a) You are responsible for Your Data: its accuracy, completeness and timeliness, and your right to enter or share it.
(b) Wrong, old, duplicated or missing data can produce wrong Outputs. To the extent the law allows, Glyve is not responsible for Outputs caused by Your Data.
(c) An AI draft (from Meal Scan or Voice), a scanned label or barcode, or an imported reading is provisional until you review it and save it. Once you save it, it is your entry, and you are responsible for it.
(d) Glyve warns you when a new log looks like one you have already saved. That check is a convenience. It can miss repeats, and it can flag entries that are not repeats.
(e) Keep your own copy of anything important. Export is available in the App at any time.
(f) Your consent to processing your health information. When you tick the box to create your account, you also give this consent: "I consent to Glyve processing my health information, such as glucose, insulin and meals, to run the app, and storing it in Canada and the United States." You can withdraw it at any time by deleting your account, as section 21 and the Privacy Policy explain. Glyve cannot run without processing that information, so withdrawing it ends your use of the Services.
7. The calculator and other arithmetic
(a) Glyve's insulin calculator does arithmetic on numbers you provide: your carbohydrate count, your glucose reading, and the insulin-to-carb ratio and correction ranges you set. It divides carbohydrates by your ratio and looks up your own correction range. It does not take into account active insulin, exercise, illness or anything else. It does not choose, check or recommend a dose. The number it shows is a calculation, not an instruction.
(b) Before acting on any number the calculator shows, check it against your prescriber's instructions. Do not treat it as a recommended dose.
(c) Your ratio, correction ranges, insulin duration and target range are yours to set and keep current. Glyve does not verify whether they are correct, safe or suitable for you, and you bear the consequences of settings that are out of date or wrong.
(d) Other arithmetic, such as active insulin, estimated A1C (GMI), time in range, net carbohydrates, glycemic index and glycemic load, uses published formulas or tables and your data. Where a food has no published glycemic index, the value shown is an AI estimate and is marked as one. All of it is for information only, may not suit your situation, and must not be used for dosing or treatment.
8. AI Features
(a) AI Features send what you submit (a meal photo, or the text of what you said) to Glyve's servers and to our AI provider to produce a draft. The Privacy Policy explains how.
(b) AI can be confidently wrong. It can miss context, misread photos, mishear or misunderstand speech, and produce fabricated details. Always review a draft, including its carbohydrates and times, before you save it.
(c) Do not rely on any AI Output for insulin dosing, medication, carbohydrate correction, treatment or emergencies.
(d) Glyve limits how often AI Features can be used, to keep them available and affordable. The limits are shown in the App and may change under section 13.
(e) Before a new health-related feature is first offered to you, Glyve may ask you to accept feature-specific terms.
(f) Glycemic index estimates. After a Meal Scan's carbohydrate estimate is final, Glyve may ask the AI provider to estimate the glycemic index of foods that have no published value, from their names and nutrient amounts (never the photo). An estimate can be wrong by a wide margin, varies with ripeness, cooking and what is eaten with it, and is shown as an estimate.
(g) AI is labelled. Glyve tells you when a draft or an estimate was made by an AI Feature. You can always correct it, or log by hand instead.
9. Exports and sharing, including with a clinic
(a) Glyve lets you export or share your records (PDF, CSV, AGP report, graph). Exports are a convenience. They may not be complete, current, clinically formatted, or accepted by any provider or system. For long date ranges, a PDF shows a sensor's readings as one row a day; the CSV has every reading.
(b) If you share or export information, you choose the recipient, you confirm you are allowed to share it, and you understand that Glyve does not control what the recipient does with it.
(c) Sharing with a clinic (Care team). When you connect a clinic with a code it gives you, you choose what it may see, and you can change or stop that at any time. The clinic is independent of Glyve: it decides what to do with what it sees, and its advice is between you and it. Glyve does not monitor your readings for a clinic and does not alert anyone. Do not use sharing to get urgent help. What a clinic has already saved in its own record stays with the clinic, under its own obligations.
(d) Medications and notes you record are your own record. Glyve does not check them, remind you to take anything or warn about interactions. Your prescriptions and your pharmacist's instructions remain the source of truth.
(e) Sharing on someone's behalf. If you connect a clinic for a person you care for, you confirm that you are allowed to share that person's information with that clinic, and you will stop sharing if that stops being true.
10. Connected Services
(a) Glyve does not control, endorse or guarantee Connected Services. Their data may be inaccurate, late, duplicated, incomplete or discontinued without notice to you or to Glyve.
(b) Apple Health and Health Connect. Glyve reads only what you allow in Apple Health or, on Android, in Health Connect. It handles that data as the Privacy Policy describes, and never uses it for advertising.
(c) Dexcom and FreeStyle Libre. Glyve reads your readings through the same services the vendors' follower apps use (Dexcom Share and LibreLinkUp). These are not official partner interfaces. They can change or stop working at any time, and a vendor may block access. For Dexcom, Share must be turned on with at least one follower. Your login is kept on your phone, and on Glyve's servers while readings are saved with Glyve closed, which connecting turns on and disconnecting turns off, as the Privacy Policy describes. Readings that Glyve's servers fetch can also be late, missing or stopped, for example when a vendor stops accepting the login or while your subscription is inactive. Glyve is not affiliated with, endorsed by, or sponsored by Dexcom, Inc. or Abbott. Dexcom, Dexcom Share, FreeStyle Libre and LibreLinkUp are trademarks of their owners.
(d) Your use of a Connected Service is also governed by its own terms.
(e) Siri, Shortcuts, Apple Intelligence and controls. If you log through Siri, Shortcuts, Apple Intelligence or a control, Apple interprets your request on its own systems, under its own terms, and Glyve saves what it receives as an entry you made. An assistant can mishear or misread a request. Check the entry in Glyve, and correct it if it is wrong. Glyve is not responsible for how Apple, or any other assistant provider, interprets or handles your request.
11. Beacon
(a) Beacon is an optional convenience. It is not an emergency service, dispatch service, monitoring service or alarm, and it does not replace calling 911 or your local emergency number.
(b) Beacon writes a text message on your phone. You send it through your phone's messaging app, and your carrier delivers it. Glyve does not send it, confirm delivery, retry, escalate or contact emergency services.
(c) You acknowledge that:
- location may be unavailable, approximate, out of date or wrong;
- the message may fail to open, send or arrive, or be filtered or blocked;
- a recipient may be wrong, unreachable, unavailable or unable to help;
- the reading or insulin in the message may be out of date.
(d) You are responsible for choosing recipients each time, checking their details, and having their agreement to receive such messages. If you choose more than one person, your messaging app sends one group message, and everyone in it can see everyone's replies. Nothing is sent until you press Send. Always have another way to get help.
(e) Glyve may change or discontinue Beacon under section 13.
12. Subscriptions and billing
(a) Some features need a paid Glyve subscription. The price, billing period, any free trial and its length, and the fact that the subscription renews automatically are shown before you buy, in the App and on the App Store Provider's purchase sheet.
(b) Auto-renewal. A subscription renews automatically for the same period at the then-current price unless you cancel before the end of the current period.
(c) App Store purchases. Payment is charged to your Apple Account when you confirm. It renews unless auto-renew is turned off at least 24 hours before the end of the period, and your account is charged for renewal within the 24 hours before the period ends. Manage or cancel it in your Apple Account settings. If a free trial is offered, any unused part ends when you buy a subscription. Refunds for App Store purchases are decided by Apple (reportaproblem.apple.com), not Glyve.
(d) Google Play purchases. If Glyve is offered on Google Play, payment is charged to your Google account and managed, cancelled and refunded under Google Play's terms and policies, in the Play Store's Subscriptions page.
(e) Purchases outside an app store. If you buy through another channel Glyve offers, that channel's checkout terms, shown when you buy, also apply, and you can cancel online in the same way you bought.
(f) Deleting your account does not cancel a subscription. Cancel it separately.
(g) Refunds. Except where the law where you live gives you a right to cancel or be refunded (for example, EU or UK withdrawal rights, or Canadian or Quebec consumer law), and except as in sections 13(c) and 20(d), fees are non-refundable, and partial periods are not prorated.
(h) Prices. Glyve may change prices and plans for the future. A price increase for a subscription you already have takes effect only at renewal, with the notice and, where required, the consent the law or the App Store Provider requires.
(i) Offers and codes. Free trials, introductory prices, offer codes and referral codes come with the conditions shown with them. They may be limited to one per person, account or Apple Account, have no cash value, cannot be sold or transferred, and may end before you redeem them. Glyve may refuse or reverse an offer or code obtained by fraud or misuse. A creator whose code you use is not Glyve's agent, and nothing a creator says changes these Terms.
13. How Glyve changes, and Glyve's discretion
(a) Glyve decides what the Services include. At its discretion, Glyve may add, change, suspend or remove any feature, content, integration, platform or country, and may set or change usage limits. It will do so only for a valid reason, such as: to keep the Services secure, lawful, reliable or affordable; because a provider, platform, Connected Service or App Store Provider changes or ends something Glyve relies on; to follow the law, a court, a regulator or an app store's rules; to fix errors; to protect people from harm; or to improve or simplify Glyve.
(b) Beta features. Features labelled beta, preview or experimental (such as Genius and its patterns on the graph) are provided without any promise of availability, accuracy or continuity, and may change or end at any time.
(c) If a change harms you. If a change removes a major paid feature, or otherwise significantly harms your use of Glyve during a period you have paid for, Glyve will tell you in advance where it reasonably can. You may then end your subscription without penalty, and, unless Glyve offers a substantially similar replacement, ask for a pro-rata refund of the unused part of the period you paid Glyve for. This does not apply to maintenance, outages or ordinary changes, and does not limit any statutory remedy.
(d) Glyve may update the App, sometimes as a requirement to keep using it.
14. Licence, ownership and rules of use
(a) Glyve gives you a personal, limited, revocable, non-exclusive, non-transferable licence to use the App and Services for your own non-commercial use, under these Terms and the App Store Provider's usage rules.
(b) Glyve and its licensors own the Services, including the software, design, content, models, prompts and brand. Your Data is yours. You give Glyve the permission it needs to store, process and display Your Data to provide the Services, as the Privacy Policy describes.
(c) You must not:
- copy, reverse engineer or extract the Services' code, models or prompts, except where the law allows it despite this restriction;
- get around subscriptions, limits, security or access controls;
- use the Services unlawfully, to harm anyone, or in a way that presents Glyve as a medical or emergency service;
- overload or disrupt the Services, or use them to build a competing product.
(d) Your account and device. Keep your phone locked with a passcode, and your sign-in secure. You are responsible for what happens in your account and on your device, including Beacon messages sent from it and clinics connected from it, unless it results from Glyve's own failure to protect the Services. Tell us at info@glyve.ca if you think someone else has used your account. To the extent the law allows, Glyve is not liable for loss caused by someone using your unlocked phone or your sign-in. Widgets, notifications, Siri and the Apple Watch app can show your readings where others may see them, including on your Lock Screen and watch face; you choose whether to use them.
15. Disclaimer of warranties
TO THE FULLEST EXTENT THE LAW ALLOWS, THE SERVICES AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS, AND GLYVE DISCLAIMS ALL WARRANTIES, CONDITIONS AND GUARANTEES, WHETHER EXPRESS, IMPLIED OR STATUTORY. THIS INCLUDES MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, SAFETY, AVAILABILITY, SECURITY AND NON-INFRINGEMENT.
GLYVE DOES NOT WARRANT THAT THE SERVICES WILL MEET YOUR NEEDS, PRODUCE ANY HEALTH OUTCOME, PRODUCE ACCURATE OUTPUTS, DELIVER ANY REMINDER OR MESSAGE, OBTAIN ANY LOCATION, OR WORK WITHOUT INTERRUPTION, ERRORS OR LOSS OF DATA. THIS INCLUDES AI OUTPUTS, ESTIMATES, CALCULATIONS, EXPORTS, BEACON, CARE TEAM AND CONNECTED SERVICES.
Some places do not allow some of these exclusions. There, they apply only as far as the law allows (sections 0 and 30).
16. Assumption of risk
Using Glyve involves risks, including: wrong or missing readings; wrong estimates or calculations; AI mistakes; out-of-date settings; failed or late reminders; failed Beacon messages; missing location; a clinic not looking; and harm from relying on any of these, including injury or death.
TO THE FULLEST EXTENT THE LAW ALLOWS, YOU KNOWINGLY AND VOLUNTARILY ASSUME THESE RISKS.
This section does not apply to liability that section 0 says cannot be excluded, or where section 30 says it does not apply.
17. Release (United States)
This section applies if you live in the United States.
TO THE FULLEST EXTENT THE LAW ALLOWS, YOU RELEASE GLYVE AND ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, LICENSORS AND SERVICE PROVIDERS (THE "GLYVE PARTIES") FROM CLAIMS ARISING FROM YOUR USE OF, INABILITY TO USE, OR RELIANCE ON THE SERVICES OR ANY OUTPUT.
Where the law says a general release does not cover unknown claims, you waive that protection to the extent the law allows. Where it does not allow that (for example, California Civil Code section 1542), the waiver does not apply to you.
This release does not cover liability that section 0 says cannot be released, and does not affect statutory claims of an estate or dependants that the law makes non-waivable.
18. Limitation of liability
SUBJECT TO SECTIONS 0 AND 30, AND TO THE FULLEST EXTENT THE LAW ALLOWS:
(a) THE GLYVE PARTIES ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR GOODWILL, HOWEVER CAUSED AND UNDER ANY THEORY, EVEN IF ADVISED OF THEIR POSSIBILITY.
(b) THE GLYVE PARTIES ARE NOT LIABLE FOR:
- medical, dosing, dietary or emergency decisions made by you or anyone else;
- reminders, notifications or Beacon messages that fail, are late, or are wrong;
- missing or wrong location;
- failures of Connected Services, including what a clinic does or does not do;
- errors in what you enter, or out-of-date settings;
- exports or shares you make;
- AI, calculator or other Outputs;
- a recipient's failure to receive, read or act on a message.
(c) THE GLYVE PARTIES' TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES OR THESE TERMS IS LIMITED TO THE GREATER OF (i) THE AMOUNT YOU PAID FOR YOUR GLYVE SUBSCRIPTION IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND (ii) CAD $50 (OR ITS EQUIVALENT IN YOUR CURRENCY). WHERE THE LAW SETS A HIGHER MINIMUM OR FORBIDS A CAP, THAT MINIMUM OR THE GREATEST LIMITATION IT ALLOWS APPLIES.
(d) These limits apply whatever the form of claim, and even if a limited remedy fails of its essential purpose.
(e) Nothing in this section limits liability that section 0 says cannot be limited, including for death or personal injury caused by negligence where the law forbids limiting it, and for fraud, gross negligence or wilful misconduct.
19. Indemnity (United States and business use)
This section applies if you live in the United States, or if you use Glyve for a business.
To the fullest extent the law allows, you will defend, indemnify and hold harmless the Glyve Parties against claims, losses and costs (including reasonable legal fees) brought by a third party and arising from:
- your breach of these Terms or of the law;
- Your Data, including information about someone else that you log, share or send;
- exports, shares, clinic connections or Beacon messages you make;
- your use of Glyve for someone else.
This does not apply to the extent a claim arises from Glyve's own fraud, gross negligence or wilful misconduct, or where consumer law forbids requiring a consumer to indemnify.
20. Changes to these Terms
(a) What may change. Glyve may change these Terms for the future, but only: the description of the Services and their features; how subscriptions, limits and support work; the rules of use; how disputes are handled; and anything needed because of a change in the law, a regulator's or App Store Provider's requirements, or Glyve's providers. Glyve will not use this section to change the price of a subscription you have already bought (section 12(h) covers prices).
(b) Notice. For a change that reduces your rights or increases your obligations, Glyve will tell you at least 30 days before it takes effect, in the App or by email, showing the new wording and the wording it replaces, the date it takes effect, and your rights under (d).
(c) Your acceptance. For material changes, and for any change to section 23, Glyve will also ask you to accept the new Terms in the App, and they will not apply to you until you do. Other changes (for example, corrections or wording for a new feature) take effect when published. A change never applies to a dispute that arose before it.
(d) You may refuse. If you do not accept a change, you may stop using Glyve, delete your account and cancel your subscription, without any cost or penalty, before the change takes effect or within 30 days after. If you paid Glyve directly, you may ask for a pro-rata refund of the unused part of your subscription.
21. Suspension, termination and deleting your account
(a) Glyve may suspend or end your access, in whole or in part, if: you seriously or repeatedly breach these Terms; your use creates a security, legal or safety risk to Glyve or anyone else; you fail to pay; the law, a court, a regulator or an App Store Provider requires it; or Glyve stops offering the Services where you are. Where it is reasonable and lawful, Glyve will tell you first, give you a chance to fix the problem, and, if it ends your access for a reason other than your breach or a legal requirement, give you at least 30 days to export your records.
(b) You can stop using Glyve and delete your account at any time, in the App: More › Settings › Delete Account. Deletion is automatic and erases your account and data as the Privacy Policy describes. It cannot be undone. Export anything you want to keep first.
(c) If Glyve permanently stops offering the Services, it will give at least 30 days' notice where it reasonably can, and section 13(c) applies to any unused paid period.
22. Force majeure
Glyve is not liable for delay or failure caused by events beyond its reasonable control, such as natural disasters, pandemics, war, cyberattacks, power, internet or carrier failures, platform or operating-system changes, the actions of a Connected Service or App Store Provider, or government action. This does not limit liability that section 0 protects.
23. Disputes, governing law and courts
This section is subject to sections 0 and 30.
(a) Talk to us first. Before starting a claim, email info@glyve.ca with "Dispute" in the subject, your name, the email on your account, what happened and what you want, and give us 30 days to try to resolve it. Any limitation period is paused during those 30 days. This does not stop either of us from going to small-claims court, or from asking a court for urgent relief.
(b) If you live in the United States.
- Governing law. The Federal Arbitration Act governs this section 23(b). Otherwise, these Terms are governed by the law of the state where you live, without regard to conflict-of-laws rules.
- Individual arbitration. Except for small-claims cases and the claims described below, any dispute, claim or controversy between you and Glyve arising from or relating to the Services, these Terms or the Privacy Policy, including claims in contract, tort (including negligence, product liability and personal injury), under statute or about privacy, will be resolved by final, binding, individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Hearings are held in the county where you live or by video or phone, at your choice. Glyve pays the fees the AAA's rules and the law require the business to pay.
- No class actions; no jury. You and Glyve each waive a jury trial and any right to bring or take part in a class, collective, consolidated or representative proceeding. The arbitrator may award relief only to you individually.
- Mass arbitration. If 25 or more demands raising substantially similar claims are filed by, or with the help of, the same or coordinated counsel, the AAA's Mass Arbitration Supplementary Rules apply, and the demands are administered in the batches and with the fees those rules set. Limitation periods are paused for demands waiting in a batch.
- Who decides. The arbitrator decides questions about the scope, validity and enforceability of this arbitration agreement, except that a court decides whether the class, collective and representative waiver is enforceable, and whether the mass-arbitration paragraph applies.
- Public injunctive relief. A claim for public injunctive relief that the law where you live does not allow to be waived or arbitrated (for example, under California law) is severed and decided by a court, after any individual claims are arbitrated.
- Opt-out. You may opt out of arbitration by emailing info@glyve.ca within 30 days of first accepting these Terms, with your name, the email on your account, and the words "Arbitration opt-out". If you opt out, disputes are heard in the state or federal courts for the county where you live, and the rest of these Terms still applies.
- Time limit. To the extent the law of your state allows, a claim must be started within one year after you knew, or ought to have known, of it. Where your state requires a longer period, that period applies.
- Changes. If Glyve changes this section 23(b), the change does not apply to a claim you had already notified to Glyve, and you may reject it under section 20(d).
- If part of this fails. If the class, collective and representative waiver is found unenforceable for a claim, that claim is heard in court, not in arbitration, and is paused until the individual arbitration of any other claims ends. Any other part of this section 23(b) found unenforceable is severed, and the rest applies.
(c) If you live in Canada. These Terms are governed by the laws of Alberta and the federal laws of Canada that apply there, together with the mandatory consumer protection law of the province or territory where you live (in Quebec, the law of Quebec as section 30(f) describes). You may bring a claim in the courts of the province or territory where you live, or in the courts of Alberta. Glyve will bring any claim against you only where you live. There is no arbitration unless, after a dispute has arisen, you choose it; if you do, it is conducted under Alberta's Arbitration Act and the ADR Institute of Canada Arbitration Rules, by video or in Calgary, before one arbitrator. You may start or join a class proceeding where your province's law allows it.
(d) If you live in the European Union, the European Economic Area, the United Kingdom or Switzerland. These Terms are governed by the laws of Alberta, Canada. That choice does not deprive you of the protection of the mandatory provisions of the law of the country where you live, which continue to apply. You may bring proceedings in the courts of the country where you live, and Glyve may bring proceedings against you only there. There is no arbitration.
(e) If you live anywhere else. These Terms are governed by the laws of Alberta, Canada, together with any provisions of the law where you live that cannot be excluded by agreement. You may bring a claim in the courts where you live or in the courts of Alberta, and Glyve will bring any claim against you only where you live. There is no arbitration, and nothing in these Terms removes a right to go to a consumer forum or court that the law where you live gives you.
(f) Business use. If you use Glyve for a business, the Glyve Clinical Practice Terms govern that use where they apply. Otherwise, these Terms are governed by the laws of Alberta and the federal laws of Canada that apply there, and disputes are heard only in the courts of Calgary, Alberta, on an individual basis.
(g) Small claims. Either of us may always bring an individual claim in a small-claims court that has jurisdiction.
24. Apple App Store terms
If you got the App from the Apple App Store:
(a) These Terms are between you and Glyve only, not Apple. Glyve, not Apple, is responsible for the App and its content.
(b) Your licence is limited to Apple-branded products you own or control, as the App Store's Usage Rules permit (including Family Sharing).
(c) Apple has no obligation to provide maintenance or support for the App.
(d) If the App fails to conform to an applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any). To the extent the law allows, Apple has no other warranty obligation. Any other warranty claim is Glyve's responsibility, subject to these Terms.
(e) Glyve, not Apple, is responsible for any claim relating to the App, including product liability, failure to meet legal or regulatory requirements, and consumer protection or privacy law, including in connection with HealthKit.
(f) Glyve, not Apple, is responsible for any claim that the App infringes a third party's intellectual property.
(g) You confirm that you are not in a country subject to a US government embargo or designated as supporting terrorism, and are not on a US government list of prohibited or restricted parties.
(h) Questions and complaints about the App go to Glyve, at info@glyve.ca.
(i) You must follow any third-party terms that apply when you use the App.
(j) Apple and its subsidiaries are third-party beneficiaries of this section and may enforce it against you.
If these Terms conflict with Apple's standard Licensed Application End User License Agreement on a point Apple requires, Apple's terms apply to that point.
25. Google Play terms
If you got the App from Google Play:
(a) These Terms are between you and Glyve only, not Google. Google is not responsible for the App and has no liability under these Terms.
(b) Your use of Google Play, and purchases you make through it, are also governed by Google Play's terms and policies.
(c) If these Terms conflict with Google Play's developer terms on a point Google requires, Google's terms apply to that point.
26. Electronic communications
You agree that Glyve may communicate with you electronically: in the App, by notification, or by email. Electronic notices satisfy any requirement that notices be in writing, to the extent the law allows. Glyve will not send you marketing messages unless you agree to them.
27. Feedback
If you send Glyve suggestions or feedback, Glyve may use them freely, without obligation to you. You waive any moral rights in them to the extent the law allows. This does not give Glyve any rights to Your Data.
28. Where Glyve is available; sanctions
(a) Glyve decides where it offers the Services, and it may not be available, or suitable, everywhere. Glyve is not designed for places whose law requires health data to be stored only in that country. If you use it outside the countries where Glyve offers it, you do so on your own initiative and are responsible for following local laws. Offering the App in a country's app store is not a statement that it meets that country's rules for medical devices or health software, which Glyve does not claim to be (section 3).
(b) You may not use Glyve if you are located or ordinarily resident in a country or region under comprehensive Canadian, United States, United Nations, European Union or United Kingdom sanctions, or if you are on a sanctions or restricted-party list of any of them.
29. General
(a) Relationship. These Terms create no partnership, agency, employment or fiduciary relationship.
(b) Assignment. You may not transfer these Terms without Glyve's written consent. Glyve may transfer them, including in a merger, acquisition or sale of assets, if your rights under them are not reduced, and will tell you if it does.
(c) Waiver. Not enforcing a provision is not a waiver of it.
(d) Interpretation. Headings are for convenience. "Including" means "including without limitation".
(e) Language. These Terms are written in English and in French, and the two versions are equally authoritative. On a device set to French, the App shows the French version; otherwise it shows the English version. If you live in Quebec and accept the English version, you have chosen to be bound by the English version. A translation made by your browser or another tool is for convenience only and is not part of these Terms. Where the law requires a version in another language, the law's protections apply.
(f) Notices. Glyve may send notices in the App or to your account email. You may send notices to info@glyve.ca.
(g) Privacy. The Glyve Privacy Policy explains how Glyve handles personal information. It is shown to you with these Terms before you create an account. It is a notice of Glyve's practices, not part of this contract, and it does not by itself create contractual rights or obligations; your privacy rights come from the law, and your explicit consent to processing health information is given with the same box, as section 6(f) sets out (section 29(i)).
(h) Third parties. Except for Apple under section 24, no one else (including a Beacon recipient, caregiver, clinic or clinician) has rights under these Terms.
(i) Acceptance record. When you create your account, you tick one box, next to the words "I agree to the Terms and Privacy Policy". Ticking it agrees to these Terms, confirms you have read the Privacy Policy, and gives your explicit consent to the processing of your health information in the words of section 6(f) (Privacy Policy, section 4). Glyve records the date, time and version of each.
(j) Severability. If a provision is unenforceable, it is limited to the extent needed (section 0(c)), and the rest of these Terms still applies.
(k) Survival. Sections 0, 5–7, 9(b), 14(b)–(d) and 15–30 survive the end of your account.
(l) Entire agreement. These Terms and any purchase terms shown when you buy are the whole agreement between you and Glyve about the Services.
30. Where you live — country, province and state terms
This section is part of section 0. It prevails over sections 13 and 15–23 on the points it covers. "Consumer" means a person using Glyve for purposes outside their trade, business or profession.
(a) European Union and European Economic Area. If you are a consumer living there:
- you have the statutory rights for digital content and digital services under the law of your country (implementing Directive (EU) 2019/770), including the legal guarantee of conformity, and nothing in these Terms limits them; Glyve changes the Services under section 13 only for the valid reasons listed there, and where a change has more than a minor negative impact on you, Glyve will tell you reasonably in advance and you may end the contract free of charge;
- Glyve is liable without limit for damage caused intentionally or by gross negligence, for injury to life, body or health, under product-liability law (including for destroyed or corrupted data), and under any guarantee it has given;
- for damage caused by slight negligence, Glyve is liable only for breach of an essential obligation — one whose performance makes it possible to provide the Services at all and on which you may regularly rely — and then only for damage that was typical and foreseeable when you accepted these Terms;
- sections 16, 17, 19 and 23(b) do not apply to you;
- in Germany, Glyve is neither obliged nor willing to take part in dispute-resolution proceedings before a consumer arbitration board.
(b) United Kingdom. If you are a consumer living in the United Kingdom, you have the rights the Consumer Rights Act 2015 gives for digital content and services: they must be as described, fit for purpose and of satisfactory quality, and supplied with reasonable care and skill. Nothing in these Terms limits those rights, or Glyve's liability for death or personal injury caused by its negligence or for fraud. Glyve is responsible for loss you suffer that is a foreseeable result of its breaching these Terms or failing to use reasonable care and skill, and not for loss that was not foreseeable. Sections 16, 17, 19 and 23(b) do not apply to you, and Glyve changes these Terms and the Services only for the reasons listed in sections 13 and 20.
(c) Switzerland. If you are a consumer living in Switzerland, sections 16, 17 and 19 do not apply to you, and section 18 applies only as far as Swiss law allows; Glyve's liability for unlawful intent or gross negligence is not limited.
(d) Australia. Glyve's services come with guarantees that cannot be excluded under the Australian Consumer Law. For a major failure with the service, you are entitled to cancel your service contract and to a refund for the unused portion, or to compensation for its reduced value. You are also entitled to be compensated for any other reasonably foreseeable loss or damage. If a failure does not amount to a major failure, you are entitled to have problems with the service rectified in a reasonable time and, if this is not done, to cancel your contract and obtain a refund for the unused portion. Nothing in these Terms excludes, restricts or modifies those guarantees or rights. If you are a consumer or small business in Australia: sections 16, 17 and 19 do not apply to you; section 18 applies only to the extent reasonably necessary to protect Glyve's legitimate interests and never to a failure to comply with a consumer guarantee; and whenever Glyve changes these Terms or the Services in a way that is detrimental to you, you may end the contract without penalty (section 20(d)).
(e) New Zealand. If you are a consumer, the Consumer Guarantees Act 1993 and the Fair Trading Act 1986 apply, and nothing in these Terms limits them; sections 16, 17 and 19 do not apply to you. If you use Glyve for the purposes of a business, the Consumer Guarantees Act does not apply.
(f) Canada. If you are a consumer in Canada: sections 16, 17 and 19 do not apply to you; section 18 applies only as far as the consumer protection law of your province or territory allows; and section 23(c) governs disputes. In every province and territory, its consumer protection statute applies to the extent it cannot be excluded.
- Quebec. If you live in Quebec: sections 15 and 18 do not apply to the extent that section 10 of the Consumer Protection Act, or articles 1474 and 1437 of the Civil Code of Québec, forbid them, and Glyve does not limit its liability for any bodily or moral injury; nothing in these Terms lets Glyve decide on its own that you have failed to meet an obligation (section 11 of the Consumer Protection Act), so Glyve suspends or ends your access for a breach under section 21(a) only when the breach is established (for example, because you acknowledge it or a court decides it), except to deal with an immediate security or safety risk; you may not be required to arbitrate, and you may bring or join a class action (section 11.1); and every change to these Terms is notified to you at least 30 days before it takes effect, as section 20(b) describes, whether or not it reduces your rights, with the right to refuse it and cancel without cost under section 20(d), as section 11.2 requires.
(g) United States.
- California. Under California Civil Code section 1789.3, California users are entitled to this notice: the Services are provided by Glyve, which can be reached at info@glyve.ca; the prices of the Services are shown before you buy; and you may report complaints to the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs, in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210. Section 17's waiver of unknown claims does not apply to you (Civil Code section 1542).
- New Jersey. If you live in New Jersey, sections 15–19 do not limit Glyve's liability for its own negligence, for injury to a person, or for any claim under a New Jersey statute that cannot be waived, and nothing in these Terms limits your rights under New Jersey's Truth-in-Consumer Contract, Warranty and Notice Act.
- Other states. Some states do not allow the exclusion of implied warranties, the limitation of incidental or consequential damages, a shortened time to bring a claim, or the other limits in sections 15–19 and 23(b). Where you live in such a state, those provisions apply to you only as far as its law allows.
(h) Japan. If you are a consumer in Japan: sections 17 and 18(a)–(b) do not exclude Glyve's liability in full; the limits in section 18 apply only where Glyve was negligent, and not where it acted intentionally or with gross negligence; and nothing in these Terms excludes or limits liability that the Consumer Contract Act does not allow to be excluded or limited.
(i) South Korea. If you are a consumer in the Republic of Korea, nothing in these Terms excludes Glyve's liability for its intentional acts or gross negligence, and sections 15–19 apply only as far as the Act on the Regulation of Terms and Conditions allows.
(j) Brazil. If you are a consumer in Brazil, the Consumer Defence Code (Law 8,078/1990) applies. Sections 15–19 do not exclude or lessen Glyve's liability beyond what that Code allows, and you may bring a claim in the courts of Brazil where you live (Marco Civil da Internet, article 8).
(k) India, South Africa, Israel, Mexico, Türkiye and elsewhere. The consumer-protection law where you live (for example, India's Consumer Protection Act 2019 or South Africa's Consumer Protection Act 68 of 2008) applies to the extent it cannot be excluded. Sections 15–19 apply only as far as that law allows, and nothing in these Terms removes a right to bring a complaint before a consumer forum or court that the law gives you. If you are a consumer in South Africa, the terms in sections 15–19 are drawn to your attention here and in the summary at the top, in plain language, as the Consumer Protection Act requires.
31. Accessibility
(a) Glyve is built to work with your device's accessibility features, including VoiceOver, Voice Control, Switch Control, Full Keyboard Access, larger text sizes, Bold Text, Increase Contrast, Reduce Motion, Reduce Transparency, Smart Invert, Button Shapes and Differentiate Without Colour. Glyve aims to meet the Web Content Accessibility Guidelines (WCAG) 2.2 at level AA, where they apply to an app.
(b) If any part of Glyve does not work with the way you use your device, or you need these Terms or the Privacy Policy in another format, email info@glyve.ca with "Accessibility" in the subject. Glyve will answer, and will work with you on another way to do what you were trying to do.
(c) This section describes how Glyve is designed. It is not a promise that every feature works with every assistive technology (section 15), and it does not limit any right the law gives you.
